Electronic Instructions and Transactions

Learn how we process requests, instructions, approvals, and other actions submitted through Online Services and when they may be treated as authorized by you or your company.

What is an Electronic Instruction?

An electronic instruction is any request, instruction, selection, approval, authorization, confirmation, cancellation, submission, or other action that you send or perform through Online Services.

Depending on the services and features available to you, electronic instructions may include requesting or modifying services, submitting information or documents, approving transactions, providing authorizations, confirming information, or performing other actions available through your account.

Are Electronic Instructions binding?

Electronic instructions submitted through your account using valid authentication credentials will generally be treated as instructions submitted or authorized by you.

If your account is associated with a company or another organization and you are authorized to act on its behalf, we may also treat those instructions as having been submitted or authorized on behalf of that company or organization, subject to your assigned roles and permissions.

You are responsible for reviewing an electronic instruction before submitting or authorizing it and for ensuring that you have the authority necessary to perform the applicable action.

How do we authenticate Electronic Instructions?

We may rely on your account, authentication credentials, assigned roles and permissions, and other security measures available through Online Services to authenticate or validate an electronic instruction.

Depending on the nature or risk of a particular action, we may require additional authentication, approval, confirmation, or verification before accepting or processing an instruction.

When do we receive an Electronic Instruction?

An electronic instruction is considered received when it is successfully submitted through Online Services and our systems acknowledge or record its receipt.

The appearance of an instruction as submitted, pending, received, or similar does not necessarily mean that we have accepted, approved, or completed the requested action.

Certain instructions may be subject to additional review, validation, approval, availability, cutoff times, or other requirements before they can be processed.

Can I change or cancel an Electronic Instruction?

Certain electronic instructions may be changed or canceled through Online Services if that option is available and the instruction has not yet reached a stage at which modification or cancellation is no longer possible.

If the option is not available, you may contact us through our official support channels. We will make reasonable efforts to assist you, but we cannot guarantee that an instruction can be changed, canceled, or stopped after it has been submitted or processing has begun.

Any modification or cancellation may remain subject to the terms and conditions applicable to the underlying service.

Can we refuse or delay an Electronic Instruction?

Yes. We may refuse, delay, suspend, or request additional confirmation of an electronic instruction when we reasonably consider it necessary, including when:

  • We cannot authenticate or verify the instruction.

  • The instruction exceeds the user's assigned authority or permissions.

  • The information provided is incomplete, inconsistent, or appears inaccurate.

  • Additional approval, documentation, or verification is required.

  • We detect unusual or potentially fraudulent activity.

  • Processing the instruction could violate applicable law, an agreement, our policies, or applicable service requirements.

  • The requested service or feature is unavailable.

Where appropriate, we may notify you that an instruction could not be processed or that additional action is required.

Are you responsible for Unauthorized Instructions?

You are responsible at all times for the use of Online Services through your account and for taking reasonable measures to protect your account, authentication credentials, and access methods.

Actions, instructions, requests, approvals, and transactions performed through your account using valid authentication credentials will generally be treated as performed or authorized by you. If your account is associated with a company or another organization and you are authorized to act on its behalf, such actions may also be treated as performed or authorized on behalf of that organization.

If you know or suspect that your account has been accessed or used without authorization, you must notify us promptly and take any reasonable security measures we request, such as changing your password or completing additional authentication or verification.

Reporting an action, instruction, or transaction as unauthorized does not automatically relieve you or, where applicable, the company or organization associated with your account of responsibility for its use. We may review the circumstances, including the authentication methods used, account activity, security measures in place, any notices received from you, and other relevant information, before determining how the matter will be handled under the applicable terms.

We may restrict or suspend access, terminate active sessions, require additional authentication or verification, or take other measures we reasonably consider necessary while we review the circumstances.
